Launchpad Terms and Conditions
By participating in VSL's Recovery Housing Launchpad, you agree to the terms and conditions in the Launchpad Participation Agreement.
This Launchpad Participation Agreement (“Agreement”) sets forth the terms under which Vanderburgh Communities, LLC (“Provider”) will deliver training, mentorship, and support services to individuals accepted into the Recovery Housing Launchpad Program (the “Participants” and the “Program”). Participation in the Program confirms the Participant’s agreement to the terms contained in this Agreement.
1. Purpose of the Program
The Launchpad Program is designed to equip Participants with the knowledge, skills, tools, and support necessary to plan, develop, and operate a high-quality recovery home in alignment with industry best practices and applicable legal, regulatory, and certification standards. Through a combination of self-directed learning, mentorship, optional on-site training, access to proprietary resources, and participation in the VSL community, the Program aims to provide a structured pathway from concept to opening day. While the Program is intended to maximize the Participant’s ability to successfully launch and manage a recovery home, the outcome ultimately depends on the Participant’s own efforts, decisions, and circumstances.
2. Recovery Housing Leadership Academy
Access and Duration. As part of the Program, Participant will receive access to three courses in the Recovery Housing Leadership Academy, which consists of a series of online courses made available beginning on the Program start date (the “Academy”). Academy access will remain available for the full duration of the Participant’s enrollment in the Program.
Format. The courses are self-guided and self-directed, allowing Participant to engage with the material at their own pace. Each course is designed to equip Participant with the knowledge, tools, and best practices necessary to successfully plan, open, and operate a recovery home.
Participant Engagement. Participant agrees to make a good-faith effort to engage actively with the course material. Completion of the courses, and active participation in related exercises, discussions, and assignments, is strongly encouraged to ensure Participant gains the full benefit of the Program.
3. Mentorship and Coaching
Scope. In addition to the Academy courses, Participant will receive Coaching, consisting of both individual mentorship and group coaching and training sessions. Coaching may include training activities that expand on the Academy course material and provide tailored guidance for Participant’s specific stage in the recovery home development process.
Mentors and Coaches. Coaching will be provided by Provider’s staff members as well as members of the VSL community who operate recovery housing. Participant may also be introduced to other professionals in VSL’s network as appropriate to their needs and goals.
Scheduling. All mentorship and coaching sessions must be scheduled in advance. Participants typically receive weekly or bi-weekly coaching sessions depending on their stage in the process of opening a home. Participant may request additional sessions as needed, subject to availability of Provider’s staff and community members.
Changes to Scheduled Sessions. If Participant needs to reschedule or cancel a session, at least twenty-four (24) hours’ notice is requested. Failure to provide such notice may result in forfeiture of the session at Provider’s discretion.
4. Access to Template Documents
Availability of Templates. As part of the Launchpad Program, participants will receive access to a library of template documents, forms, and related materials (the “Templates”) developed by Provider or its affiliates. These Templates are provided for the Participant’s use in connection with the planning, development, and operation of recovery housing. Participants may modify the Templates for their own purposes.
Ownership and Confidentiality. The Templates are proprietary and confidential and may not be shared, distributed, sold, or otherwise disclosed to any third party without the express written consent of Provider. Participants agree to take reasonable steps to safeguard the confidentiality of the Templates and to use them solely for their intended purpose within the scope of the Participant’s own recovery housing activities.
5. Access to VSL Community
Access to the VSL Community. Participants in the Launchpad Program will have access to the VSL online community hosted on the Thinkific platform. This community includes opportunities to connect with other recovery housing leaders, access subject matter experts, and participate in discussions, Q&A sessions, and collaborative activities.
Active Participation. Participants are encouraged to actively contribute as members of the community by sharing insights, offering support to peers, and engaging in meaningful dialogue. Active participation enhances the collective value of the program and helps foster a supportive, knowledge-sharing environment.
Disclaimer Regarding Third-Party Content. While Provider may facilitate connections between participants and industry experts or other community members, Provider does not endorse, guarantee, or take responsibility for the accuracy, completeness, or reliability of any opinions, advice, or information provided by third parties within the community. Participants should exercise their own judgment when relying on any such content.
6. Program Timeline
Start Date. The Program Start Date is the date on which the Participant makes a payment toward the Launchpad Program.
Completion Date. The Completion Date 90 days after the Start Date.
Term of Agreement. The term of this Agreement begins on the Program Start Date and concludes on the Completion Date. Extensions of time may be granted at the sole discretion of the Provider, based on factors such as Participant engagement and progress.
Program Cost. The total program cost, any tuition grants awarded, and the resulting program costs are set forth below.
Non-Refundable Program Cost. All program costs are non-refundable and the total program cost is fully earned upon enrollment in the program.
Late Payment Policy. Failure to make any scheduled payment when due constitutes a breach of this Agreement and may result in the temporary suspension or termination of the Participant’s enrollment in the program.
7. Participant Commitments
Engagement. Participant agrees to attend scheduled trainings, actively participate in group sessions, and complete coursework in a timely manner in order to derive the full benefit of the Program.
Professional Conduct. Participant shall maintain respectful, courteous, and professional behavior toward Provider staff, mentors, field experts, and other program participants at all times.
Compliance with Laws and Regulations. Participant agrees to comply with all applicable federal, state, and local laws, regulations, zoning requirements, licensing standards, and fair housing obligations relevant to the development and operation of a recovery home.
Communication and Responsiveness. Participant agrees to maintain open, timely, and responsive communication with Provider staff, mentors, and relevant partners, including responding to program-related messages, emails, or scheduling requests within a reasonable time frame.
Responsibility for Decisions. Participant acknowledges that all decisions regarding the operation, management, and financing of their recovery home are their sole responsibility, and that Provider’s role is advisory and supportive in nature.
Active Contribution to the VSL Community. Participant agrees to engage constructively in the VSL Community forums and events, share relevant experiences, and provide feedback or support to fellow participants when appropriate.
Use of Provided Materials. Participant shall use program materials solely for their own recovery housing project and shall not resell, license, or otherwise exploit such materials for commercial purposes unrelated to the program.
Confidentiality & Non-Disclosure. Participant shall protect all proprietary information, training materials, strategies, and other confidential content provided during the program. Participant shall not distribute, share, reproduce, or publicly post any such materials without the prior written consent of Provider. All confidentiality and non-disclosure obligations survive the completion or termination of the program. These obligations are further detailed in the Non-Disclosure Agreement (NDA) attached hereto and incorporated herein by reference.
8. Fundraising and Charter Pathway
Participant acknowledges that their participation in the Launchpad Program is undertaken with the intention of becoming a Chartered Operator of Vanderburgh Sober Living. Participant agrees to actively pursue fundraising activities in furtherance of establishing and operating a recovery home. Both Parties understand and agree that this Program serves as a pathway toward that goal. Upon successful completion of fundraising sufficient to support the launch of a recovery home, the Parties intend in good faith to execute a Charter Agreement with Vanderburgh Sober Living, which will govern the ongoing relationship between the Parties. The Charter Agreement, once executed, shall supersede and replace this Agreement.
9. Program Limitations and Disclaimers
No Guarantee of Results. Participant acknowledges and agrees that Provider makes no guarantee, warranty, or representation that Participant will successfully open or operate a recovery home, obtain certification, achieve financial results, or realize any particular business, operational, or personal outcome as a result of participation in the program.
Third-Party Costs Not Included. Participant understands that all third-party expenses, including but not limited to certification fees, licensing fees, permit fees, property acquisition or lease costs, travel, lodging, and any other operational or business-related expenses, are the sole responsibility of the Participant.
Program Changes. Provider reserves the right to make changes to the program curriculum, schedule, delivery format, instructors, or mentors at any time, provided that reasonable notice is given to the Participant whenever practicable.
10. Intellectual Property
Ownership. All program content, templates, training materials, documents, presentations, videos, recordings, and other resources provided as part of the program (“Program Materials”) are and shall remain the sole and exclusive property of Provider or its affiliates. Nothing in this Agreement shall be construed as transferring any ownership rights to the Participant.
License. Provider grants Participant a limited, non-exclusive, non-transferable, revocable license to use the Program Materials solely for the Participant’s personal use in developing and operating their own recovery home. Such license does not permit the reproduction, distribution, sale, sublicensing, or other commercial exploitation of Program Materials for the benefit of third parties.
11. Miscellaneous
Termination. Provider may terminate Participant’s enrollment in the Program upon written notice if the Participant commits a material breach of this Agreement, engages in unethical or unlawful conduct, or fails to participate meaningfully in the Program, as determined by Provider in its reasonable discretion.
Force Majeure. Provider shall not be liable or responsible for any failure or delay in performing its obligations under this Agreement when such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government orders or regulations, labor disputes, power outages, or other events of a similar nature.
Governing Law. This Agreement shall be governed by, and construed in accordance with, the laws of the State of Delaware, without regard to its conflict of laws principles.
Mediation and Arbitration. In the event of any dispute, claim, or controversy arising out of or relating to this Agreement or the Participant’s involvement in the program, the Parties agree to first attempt in good faith to resolve the matter through informal discussion. If resolution cannot be achieved within thirty (30) days, the Parties shall submit the matter to mediation with a mutually agreed mediator located in Worcester County, Massachusetts. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be entered in any court of competent jurisdiction.
Entire Agreement. This Agreement, together with any exhibits, attachments, or referenced documents, constitutes the entire agreement between the Parties concerning the subject matter herein and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.
Amendments. No amendment, modification, or supplement to this Agreement shall be valid unless made in writing and signed by both Parties.
Severability. If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver. No waiver of any breach or default shall constitute a waiver of any other or subsequent breach or default.
